An unwritten arrangement governs the division of work, intellectual property contributions, and future compensation among founders or early partners, often defining the initial operating norms of a nascent venture. It applies where explicit, formal contracts are absent, but ceases to hold primary authority when legally binding terms are established, although its legacy can continue to influence perceptions.
Implicit Terms
These understandings often arise from a shared vision or an initial period of intense collaboration, predating the formal structuring of a venture. Their formation is driven by an urgency to build, existing trust among founding partners, or a deliberate deferral of complex legal negotiations to a later stage when the venture’s direction is clearer. An unwritten arrangement might specify who handles specific operational areas, who takes on administrative burdens, how non-monetary intellectual contributions are valued, or how future equity adjustments could occur based on evolving effort and commitment.
Such a shared understanding is dynamic and susceptible to drift over time as individual contributions evolve, external pressures shift, or personal priorities change.
